Who provides the service
Conta Finance is a service of Stakely, S.L. (Stakely, we), tax ID (CIF) B72551682, with its registered office at C/ Ferraz 2, 2º Izq, 28008 Madrid, España. You can email us at [email protected].
What these terms cover
These terms govern the access to and the use of the Conta Finance platform: the accounts platform (accounts.conta.finance), the application of each organization and its integrations, ContaGPT and the access of AI clients through MCP. They apply to the organization that contracts the service (the client) and to each person that the client invites (a user). The legal notice governs the use of the website. The privacy policy explains how we process personal data.
The service is for companies and professionals, not for consumers. If the client signs a contract or accepts a commercial proposal with Stakely, that document prevails over these terms where they differ.
The service
Conta Finance brings the activity of an organization on blockchains and exchanges into one ledger. It classifies that activity, calculates the cost basis, the profit and loss and the reconciliation of balances, and prepares journal entries for the ERP of the client. The commercial proposal states what each plan includes, its price and its duration.
- It only reads. Conta Finance does not hold assets, does not sign transactions and does not move funds. It follows a wallet by its public address and never asks for a private key or a seed phrase.
- It is not advice. Conta Finance gives no tax, accounting, legal or investment advice. Its figures and classifications are a work tool. The client and its advisers review them and make the accounting and tax decisions.
- It depends on data from third parties. The service reads blockchains, exchanges, price sources and other third-party services. Their data can arrive late, incomplete or wrong, and their availability does not depend on us. Review the figures before you use them in the books or in a tax return.
Access and users
- Access is by invitation. The client decides who enters, with which access level, and whether its team requires two-step verification.
- A user signs in with a code by email or, where the organization offers it, with a Google or Microsoft account. The access of each user is personal: do not share it.
- Tell us as soon as you know or suspect that someone used an access without permission. We can end a session or suspend an access to protect the service or the data of the client.
- The client is responsible for the use that its users make of the service.
Acceptable use
It is not permitted to:
- use the service for an unlawful purpose, money laundering or the evasion of sanctions included;
- access, or try to access, the data of another organization, or get around the access controls or the limits of the service;
- run load or security tests without our written permission;
- introduce malicious code, or load data that the client has no right to use;
- copy, decompile or resell the service, or use it to build a competing product.
If these rules are broken, we can suspend the access. We tell the client before we do it, unless the risk requires us to act at once.
The data of the client
- The data that the client loads or connects (own accounts, transactions, contacts, categories, rules, notes and files) belongs to the client. We use it only to provide the service, on the instructions of the client.
- For the personal data in it, the client is the controller and Stakely is the processor (article 28 of the GDPR). The data processing terms are part of the contract with the client, and the privacy policy names the providers that take part.
- The client confirms that it has the right to load that data and to connect the accounts and the credentials that it connects, and that it has informed the people whose data it includes when the law requires it.
- The client can export its records (transactions, cost basis and other reports) from the application.
- When the service ends, the client has 30 days to export its data or to ask us for a copy. After that, we delete the data within 60 days, unless the contract says otherwise or the law requires us to keep it.
Integrations and third-party services
- The client decides which exchanges, ERPs and other services it connects. Each one has its own terms, which the client accepts with its provider. We are not responsible for how they work, for their changes or for their interruptions.
- Conta Finance asks for read-only exchange keys and keeps them encrypted. With KuCoin, Kraken and Binance it checks the permissions of the key and refuses a key that can trade or withdraw funds. Bit2Me and Bitvavo do not report the permissions of a key, so there the client is responsible for creating a key with read permission only.
- When the client synchronizes, Conta Finance writes journal entries in its ERP (QuickBooks Online or Holded), and it removes the entries that it wrote if the client asks for it. The client reviews the entries in its ERP.
- A link to a block explorer or to another site of a third party is only a reference.
Artificial intelligence
- ContaGPT is an optional assistant. It answers questions about the data of the client with a language model of Anthropic. Each user decides whether to use it and what to ask, and accepts a notice before the first question.
- An answer of ContaGPT can contain errors: check it before you rely on it. ContaGPT changes nothing on its own. It prepares a proposal, and the change runs only if a user confirms it.
- A person with full access can let the users of the organization connect their own AI client (for example, Claude or ChatGPT) through MCP. That client reads the data that the user can see, and it can prepare changes that the user confirms in Conta Finance. The user or the client chooses the provider of that AI client, and that provider processes the data under its own terms. We are not responsible for what that provider does with the data.
Availability and changes
We work to keep the service available and working well, but we do not guarantee that it works without interruptions or errors, except where the contract says so. We can do maintenance, and change or remove functions. If a change reduces the contracted service in an important way, we tell the client in advance.
Price and payment
The price, the method of payment, the billing period and the duration of the service are those of the commercial proposal that the client accepts.
Intellectual property
The software, the design, the Conta Finance brand and the documentation belong to Stakely or to its licensors. While the service lasts, the client and its users have a right to use it that is not exclusive and cannot be transferred, for the internal purposes of the client. If you send us a suggestion, we can use it to improve the product with no obligation to you.
Liability
We are responsible for the damage that we cause when we break these terms or the contract. We are not responsible for:
- the accounting, tax or financial decisions that the client makes with the information of the service;
- the failures, delays or errors of blockchains, exchanges, ERPs, data or price providers, or of an AI client that a user connects;
- the misuse of the access of a user, or of a key that the client created with more permissions than necessary;
- loss of profit or indirect damage.
Except in the case of intent or gross negligence, and to the extent that the law permits, our total liability is limited to the amount that the client paid for the service in the twelve months before the event that causes it.
Suspension and end of the service
The client can stop using the service as its contract says. We can suspend or end the access if the client seriously breaks these terms, if it does not pay, or if the law or an authority requires it. When the service ends, the section about the data of the client applies.
Changes to these terms
We can update these terms. We publish the new version on this page, with its date. If a change is important, we tell the clients in advance.
Governing law
Spanish law governs these terms. For any dispute, the parties submit to the courts of Madrid.
